End User License Agreement (EULA)

1. Agreement to Terms
By accessing and using the QuickBooks Online Reconciliation Dashboard (the “Application”), you agree to be bound by the terms and conditions of this End User License Agreement (“EULA”). If you do not agree to abide by the above, please do not use this Application.
2. License Grant
Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for your internal business purposes only. This license is personal to you and may not be transferred, assigned, or sublicensed to any other person or entity.
3. Permitted Use
You may use the Application to:
- Connect to your QuickBooks Online company account
- View and analyze reconciliation reports for your bank accounts
- Monitor account balances and reconciliation status
- Access historical reconciliation data
4. Restrictions
You may not:
- Copy, modify, or create derivative works of the Application
- Reverse engineer, disassemble, decompile, or attempt to derive the source code
- Remove or alter any proprietary notices, labels, or marks on the Application
- Use the Application for any unlawful purpose or in violation of any applicable laws
- Rent, lease, loan, sell, or transfer the Application or rights thereto
- Use the Application to access or process data belonging to other users without authorization
- Attempt to gain unauthorized access to the Application or its systems
- Use the Application in any manner that violates the QuickBooks Online Terms of Service
5. Intellectual Property Rights
The Application and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by the licensor, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.
6. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your QuickBooks Online credentials and login information
- All activities that occur under your account
- Ensuring your use complies with all applicable laws and regulations
- Backing up your financial data
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. THE LICENSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE APPLICATION, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
THE LICENSOR DOES NOT WARRANT THAT:
- The Application will meet your requirements
- The Application will be uninterrupted, timely, secure, or error-free
- The results obtained from the Application will be accurate or reliable
8. Limitation of Liability
IN NO EVENT SHALL THE LICENSOR, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Data and QuickBooks Integration
This Application integrates with and requires access to your QuickBooks Online account. You acknowledge that:
- Access to your QuickBooks data is governed by the QuickBooks Online Terms of Service
- The Application will request specific permissions to access your company data
- You must grant these permissions to use the Application
- You can revoke the Application’s access at any time through your QuickBooks Online settings
10. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any terms of this EULA. Upon termination of this EULA, you must cease all use of the Application and destroy all copies thereof in your possession or control.
11. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which the licensor is located, without regard to its conflict of law provisions.
12. Entire Agreement
This EULA, together with any other agreements you may have with the licensor regarding the Application, constitutes the entire agreement between you and the licensor regarding the Application and supersedes all prior agreements and understandings, whether written or oral.
13. Changes to EULA
The licensor reserves the right to modify this EULA at any time. Changes will be effective upon posting to the Application. Your continued use of the Application following the posting of revised EULA means that you accept and agree to the changes.
